CHAPTER 2

Step-by-Step Nonprofit Startup

1

Get Clear on Your Mission

Your mission is your "Why." What will your nonprofit do? Why is it needed? Keep it simple and focused. This statement will be on every legal document you file.

Example Mission Statement:

"To provide nutritious meals and education to underserved children in our community, empowering them to thrive academically and physically."

2

Pick Your Name

Your name must be unique in your state. Check your Secretary of State's website for availability. Also, check for domain names and social media handles early!

  • Search your state's business name database
  • Check domain availability (e.g., yournonprofit.org)
  • Verify social media handles are available
3

Form With Your State

File Articles of Incorporation with your Secretary of State. This is like the birth certificate of your nonprofit. You'll need a "Registered Agent"—a designated person to receive legal mail.

📋 What You'll Need:

  • • Nonprofit name
  • • Registered agent information
  • • Purpose statement
  • • Initial board member names
  • • Filing fee (varies by state, typically $50-$150)
4

Write Your Bylaws

Bylaws are your internal rulebook. They cover how you hold meetings, how the board makes decisions, and how you handle conflicts of interest.

5

Appoint a Board of Directors

The IRS generally looks for at least 3 unrelated board members. These are the leaders who guide the organization and ensure it stays true to its mission.

6

Get Your EIN

An Employer Identification Number (EIN) is like a Social Security Number for your nonprofit. It's free from the IRS and required for opening bank accounts.
